These Terms of Service (the "Terms") are a binding agreement between you ("you", "Customer") and OctaneAudit, a service operated by Nguyen Van Bao, an individual, at Tri Thuy 2, Ninh Hai, Ninh Hoa Town, Khanh Hoa 652900, Vietnam ("OctaneAudit", "we", "us"). They govern your access to and use of the website at octaneaudit.com (the "Site"), our one-time technical SEO audit products (the "Audit Services"), and our AI Monitoring subscription and credit products (the "Monitoring Services", and together with the Audit Services, the "Services").
By placing an order, creating an account or otherwise using the Services, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you are using the Services on behalf of a company, you represent that you have authority to bind that company, and "you" refers to the company.
1. Description of the Services
Audit Services. OctaneAudit delivers technical SEO and web performance audits as an online report in your dashboard and as a PDF. Audits are produced by our automated crawler and analysis tooling; some reports are reviewed by a person before delivery, for example when the website blocks our crawler or relies on JavaScript to render its content. Where offered for your tier, you may re-run the checks of a delivered audit free of charge a limited number of times within a limited period after delivery, as shown in your dashboard. Each audit tier (Essential, Professional, Enterprise) has a published scope describing the number of pages crawled, the checks performed, the deliverables and the target turnaround time. The current scope for each tier is published on the Pricing page at the time of your order and forms part of your order.
Monitoring Services. AI Monitoring performs automated, recurring checks of websites you register in your dashboard, including checks of multiple pages, availability (uptime) checks, SSL certificate and domain expiry checks and detection of important changes, and sends alerts and periodic summaries by email and to any alert channels you connect (such as Slack, Discord or a webhook). Monitoring is consumed either through prepaid credits or a daily subscription, as described on the Pricing page.
Free tools. We offer a free SEO check and other free tools without an account. They are provided as is, may be rate limited or changed at any time, and their results may be cached. The latest overall score from a free check of a domain may be shown on a public score page and in an embeddable badge for that domain; it contains no personal data and no detailed findings unless the full result link is shared.
Nature of the Services. The Services are diagnostic and advisory. We identify issues and recommend fixes; we do not implement changes on your website, and we do not guarantee any specific search ranking, traffic level or business outcome. Search engines change their systems frequently and outside our control.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Services. When you create an account, you must provide accurate information and keep it current. You are responsible for all activity under your account and for keeping your password confidential. Notify us immediately at [email protected] if you suspect unauthorized access.
3. Orders, pricing and payment
Prices. All prices are displayed in United States dollars and exclude any applicable taxes, which will be added where required by law. We may change prices at any time; changes do not affect orders already placed.
Payment. Payments are processed by Stripe, Inc. We do not store your full card details. By submitting payment information you authorize us and Stripe to charge the stated amount. Audit products and credit packs are one-time charges. The Monitoring subscription is billed daily at the published rate until cancelled.
Order acceptance. An order is accepted when we send the order confirmation email. We may decline or cancel an order for suspected fraud, violation of these Terms, pricing errors or if the target website falls outside our acceptable use policy; in that case any payment will be refunded in full.
Statement descriptor. Charges appear on your card statement as OCTANEAUDIT followed by a product suffix.
4. Audit delivery and turnaround
Turnaround. We target delivery within the turnaround published for your tier, measured in hours or business days from payment confirmation. Business days are Monday to Friday, excluding United States federal holidays.
SLA credit. If we deliver a report after the published turnaround for reasons within our control, we will automatically refund 50% of the price paid for that audit and still deliver the report. Delays caused by the target website being unavailable, blocking our crawler, requiring authentication, or by incomplete order information are excluded.
Delivery method. Reports are delivered by email to the address provided at checkout and, where you have an account, made available in your dashboard. You are responsible for providing a working email address and checking spam folders.
Upgrades and changes. You may request an upgrade to a higher tier within 24 hours of your order by replying to the confirmation email; you will pay only the price difference. After an audit has started, changes to the target website or scope may be treated as a new order.
5. Your responsibilities
You represent and warrant that:
- you own the target website or are authorized by its owner to commission an audit of it;
- the information you provide in your order is accurate and complete;
- you will not use the Services to audit a website for the purpose of attacking, scraping, or gaining unauthorized access to it;
- you will not register for Monitoring any website that you do not own or control, or whose owner has not authorized you.
Alert channels. You are responsible for the destinations you add as alert channels. Only add email addresses whose owners have agreed to receive alerts (we ask them to confirm) and keep webhook URLs and signing secrets confidential, since anyone holding them can post to or impersonate that channel. We may pause a channel that repeatedly fails to accept deliveries.
We crawl websites from the outside, at a polite rate, respecting robots.txt directives. We never request or require credentials to your CMS, hosting or analytics accounts, and you should not send them to us.
6. Acceptable use
You agree not to:
- resell, sublicense or redistribute the Services except as expressly permitted under a white-label arrangement agreed in writing;
- copy, modify, reverse engineer or create derivative works of the Site or our tooling;
- use automated means to access the Site other than through interfaces we provide;
- interfere with the security or integrity of the Site or Services;
- use the Services in violation of any applicable law, including export control and sanctions laws;
- submit content to the Site that is unlawful, defamatory, infringing or malicious.
We may suspend or terminate access for violations of this section.
7. Monitoring Services: credits and subscriptions
Credits. Credits are prepaid units consumed by monitoring checks at the rate published on the Pricing page. Credits do not expire, are non-transferable and have no cash value except as described in the Refund Policy.
Subscription. The daily subscription renews automatically each day until cancelled. You may cancel at any time from your dashboard or through the Stripe customer portal; cancellation takes effect at the end of the current billing day and no further charges are made. Partial days are not refunded.
Failed payments. If a subscription payment fails, we will retry according to Stripe's schedule and may pause monitoring until payment succeeds.
Service levels. Monitoring is provided on a best-effort basis. Checks may be delayed or skipped due to maintenance, third-party outages or target website unavailability. Monitoring is not a substitute for your own uptime monitoring or security controls.
8. Intellectual property
Our property. The Site, our crawler and analysis tooling, report templates, methodology, trademarks and all related intellectual property belong to OctaneAudit or our licensors. Nothing in these Terms transfers any ownership to you.
Your reports. Upon full payment, we grant you a perpetual, worldwide, non-exclusive license to use, copy and share the audit report delivered to you for your internal business purposes, including sharing with your contractors and agencies. Agency customers using a white-label option may share reports with their own clients under the agency's brand.
Feedback. If you send us suggestions or feedback, we may use them without obligation to you.
Sample content. Sample reports, blog posts and other content on the Site are provided for information only and may be reproduced only with attribution and a link to octaneaudit.com.
9. Confidentiality
We treat the details of your order, your target website's findings and your report as confidential and will not disclose them to third parties except to our personnel and subprocessors who need access to deliver the Services, or as required by law. We may use aggregated, anonymized data derived from audits to improve our Services and to publish industry statistics that do not identify you or your website.
10. Refunds
Refunds are governed by our Refund Policy, which includes a 14-day money-back guarantee on audit products and the SLA credit described in Section 4. To request a refund, email [email protected] with your order reference.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ALL ISSUES ON YOUR WEBSITE WILL BE DETECTED, OR THAT IMPLEMENTING OUR RECOMMENDATIONS WILL PRODUCE ANY PARTICULAR RESULT. SEARCH ENGINE RANKINGS DEPEND ON FACTORS OUTSIDE OUR CONTROL.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OCTANEAUDIT AND ITS MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR SEARCH RANKINGS, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
These limitations do not apply to liability that cannot be limited under applicable law, including liability for fraud or wilful misconduct.
13. Indemnification
You will defend, indemnify and hold harmless OctaneAudit from any third-party claim, loss or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of law, or your commissioning an audit or monitoring of a website you were not authorized to audit.
14. Term, suspension and termination
These Terms apply for as long as you use the Services. You may close your account at any time from the dashboard or by emailing support. We may suspend or terminate your access immediately if you materially breach these Terms, if required by law, or if we discontinue the Services (in which case we will refund any prepaid, unused amounts). Sections 8 through 13 and 15 through 18 survive termination.
15. Changes to the Services and Terms
We may modify the Services, including tier scopes and pricing, at any time. We may update these Terms by posting a revised version on the Site with a new "last updated" date. Material changes will be communicated by email or a notice on the Site at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance. Orders already placed are governed by the Terms in effect at the time of the order.
16. Governing law and dispute resolution
These Terms are governed by the laws of Vietnam, without regard to conflict-of-law principles. Before filing a claim, you agree to contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least 30 days. Any dispute not resolved informally will be brought exclusively before the competent courts of Khanh Hoa Province, Vietnam, and you consent to their jurisdiction. Either party may seek injunctive relief in any competent court to protect its intellectual property. Nothing in this section deprives consumers in the European Union or United Kingdom of mandatory protections under their local law.
17. General
Entire agreement. These Terms, together with the Privacy Policy, Refund Policy, Data Processing Agreement (where applicable) and your order confirmation, are the entire agreement between us regarding the Services.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including internet or hosting outages, third-party API failures, natural disasters or government action.
Severability and waiver. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
Export. You may not use the Services if you are located in, or a national of, a country subject to comprehensive United States sanctions, or if you are on a United States government restricted-party list.
Notices. We may send notices to the email address on your account. Notices to us should be sent to [email protected] or to our registered address above.
